What the chapter covers
The chapter follows the standard ICLG structure and works through four areas.
1. Making construction projects. Standard contract types and industry forms, collaborative contracting, legal requirements for contract formation, letters of intent, insurance requirements, labour, tax and health and safety considerations, building and fire safety codes, retention of funds, performance bonds and company guarantees, and retention of title.
2. Supervising construction contracts. Third-party supervision, the duty of impartiality, “pay when paid” clauses, liquidated damages and related payment matters.
3. Common issues on construction contracts. Rights to vary and to omit work, implied terms, concurrent delay, limitation periods, notice requirements, unforeseen ground conditions, change-in-law risk, intellectual property ownership, rights to suspend work, grounds for termination and termination for convenience, force majeure, third-party rights, direct agreements and collateral warranties, set-off, duty of care, contract interpretation, unenforceable terms, designer liability and decennial liability.
4. Dispute resolution. How construction disputes are generally resolved, adjudication, arbitration clauses, recognition and enforcement of international arbitral awards, court timelines, enforcement of foreign judgments and building safety remedies.
